Before using the VDR.Today Virtual Data Room System, please carefully read this Privacy Policy which regulates the processing of your personal data in the VDR System. VDR.Today complies with privacy regulations, including those based on a user’s geographical country or state of residency.

This Privacy Policy describes how we collect, use, disclose and otherwise process personal information from users of our websites and related services, and explains the rights and choices available to individuals with respect to their information. This Privacy Policy governs any of the Services on which the Privacy Policy is posted.

1. Administrator of Personal Data

VDR.Today as a Processor

The VDR.Today Virtual Data Room system (“VDR System”) is owned and maintained by M&A Tech Solutions Inc., located at 4951 W. 77th St, Edina, Minnesota 55435, USA, doing business as VDR.Today, which is the Administrator of personal data of VDR Users. For purposes of the GDPR, the Client is the controller of personal data.

VDR.Today also processes data contained in documents stored in the VDR System pursuant to the Agreement between VDR.Today and the Client. This Privacy Policy applies solely to processing of personal data of VDR System Users. Processing of personal data contained in documents within the VDR System is governed by the Agreement.

Clients are responsible for obtaining all appropriate notifications and consents regarding personal data they upload. VDR.Today assumes no responsibility for validating consent for data shared by Clients.

VDR.Today as a Business or Controller

When you provide information through the Website or VDR System, interact with sales representatives, apply for employment, communicate with us, or register for events or certifications, we may collect personal data such as name, employer’s address, email, job title, voice, telephone number, and any information you choose to provide.

Clients may also add you as a VDR System user and provide certain data (e.g., work email) which we use to create your account.

If you provide personal data of others, you represent that you have authority and consent where required.

2. Principles of Privacy Protection

We process your personal data in accordance with US and global privacy laws (CCPA, VCDPA, CPA, GDPR). We collect only the data necessary to provide the VDR System service.

3. What Personal Data Do We Collect and Process?

The data processed in relation to use of the VDR System includes:

  • First name, last name, company name, email, and phone number for account creation, service delivery, technical support, and contract implementation. For trial services, company email and phone number may be required.
  • Email and phone number for service quality monitoring, customer service, and development of the VDR System.
  • IP address for access, safety, diagnostics, and performance evaluation.
  • Cookies and similar mechanisms.
